Legal agreement for using Touch Base services
Effective Date: September 25, 2025
1. Acceptance of Terms
By using Touch Base services provided by GENUINE ORGANIZATION LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.
- You must be at least 18 years old or have parental consent to use Touch Base
- You must have the legal capacity to enter into binding agreements
- Continued use of the service constitutes acceptance of any updated Terms
- We may modify these Terms with 30 days notice to active users
2. Service Description
What Touch Base Provides
- Daily SMS check-in messages sent to your phone at scheduled times
- Automated monitoring of your responses to check-in messages
- Emergency contact notification system when check-ins are missed
- Web dashboard for account management and check-in history
- Customer support during business hours (Monday-Friday, 9 AM - 6 PM EST)
Service Limitations
- Not a Medical Device: Touch Base is not medical equipment and is not regulated by the FDA
- Not Emergency Services: We do not provide emergency response or medical monitoring
- Technology Dependencies: Service relies on SMS networks, internet connectivity, and third-party providers
- No Guaranteed Response Time: SMS delivery and emergency alerts may be delayed
3. User Accounts & Responsibilities
Account Requirements
- Provide accurate and current personal information
- Maintain a valid phone number capable of receiving SMS messages
- Provide a valid email address for account management
- Designate at least one emergency contact with their consent
- Maintain current payment method for subscription services
Your Responsibilities
- Keep your contact information and emergency contacts up to date
- Secure your account credentials and notify us of unauthorized access
- Pay all fees on time and maintain valid payment methods
- Use the service appropriately and comply with all applicable laws
- Maintain backup emergency plans and safety measures
- Test the system periodically to ensure it works for your situation
4. SMS Service Terms & TCPA Compliance
SMS Consent
By providing your phone number, you expressly consent to receive SMS messages from Touch Base, including:
- Daily check-in messages (frequency: 1 per day)
- Account notifications and service updates
- Customer support communications
- Emergency alert confirmations
SMS Terms
- Standard messaging and data rates apply from your carrier
- Message delivery depends on carrier networks and may be delayed
- You can opt-out anytime by replying "STOP" to any message
- Reply "HELP" for customer support information
- International SMS may not be supported
5. Payment Terms & Billing
Subscription Plans
- Individual Plans: $5/month or $50/year per person
- Organization Plans: $2-3/month per member (volume discounts available)
- Enterprise Plans: Custom pricing for 500+ members
- All plans include full service features and customer support
Billing Policies
- Payment processed securely through Stripe
- Subscriptions automatically renew unless cancelled
- You will receive email notification before each renewal
- Failed payments may result in service suspension
- Refunds are prorated for unused service time
- Price changes require 30 days advance notice
6. Emergency Services & Liability
Critical Disclaimers
- No Guarantee of Response: Touch Base may fail due to technical issues, network problems, or system maintenance
- Not Professional Monitoring: We do not provide medical monitoring or emergency response services
- Network Dependencies: SMS delivery is subject to carrier limitations and network availability
- Emergency Contact Reliability: We cannot guarantee emergency contacts will be available or responsive
Your Safety Responsibilities
- Maintain backup safety plans and emergency procedures
- Update emergency contacts regularly and ensure they understand their role
- Test the system periodically to verify functionality
- Understand system limitations and plan accordingly
- Always call 911 for immediate life-threatening emergencies
7. Limitation of Liability
MAXIMUM LIABILITY: Our total liability to you for any claims related to Touch Base services is limited to the amount you paid for the service in the 12 months preceding the claim.
NO CONSEQUENTIAL DAMAGES: We are not liable for indirect, incidental, special, or consequential damages, including but not limited to loss of life, injury, property damage, or emotional distress.
THIRD-PARTY SERVICES: We are not responsible for failures of third-party services including SMS carriers, internet providers, or payment processors.
8. Prohibited Uses
Forbidden Activities
- Using the service for illegal purposes or activities
- Harassing or abusing emergency contacts or customer support
- Attempting to interfere with, hack, or disrupt our systems
- Sharing account credentials with unauthorized persons
- Using the service for commercial purposes without authorization
- Sending false emergency reports or abusing the alert system
- Violating any applicable laws or regulations
9. Service Availability & Modifications
Service Level
- We strive for high availability but cannot guarantee 100% uptime
- Planned maintenance will be announced in advance when possible
- Emergency updates may occur without notice
- Force majeure events may affect service availability
Service Changes
- We may modify features and functionality with notice
- Material changes will be communicated 30 days in advance
- You may cancel your subscription if you disagree with changes
- Existing features may be grandfathered for current users
10. Termination
Your Termination Rights
- Cancel anytime through your dashboard
- Email or phone cancellation available
- Termination effective immediately
- Prorated refunds for unused service

Post-Termination
- Emergency contacts will be notified of service termination
- Account data will be deleted according to our Privacy Policy
- Outstanding payment obligations remain in effect

11. Dispute Resolution
Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts and the United States. Legal proceedings must be brought in Boston, Massachusetts.
Resolution Process
- Good Faith Negotiation: Contact us first to resolve disputes informally
- Mediation: If negotiation fails, we prefer mediation before litigation
- Small Claims Court: Disputes under $5,000 may be brought in small claims court
- Arbitration: Larger disputes may be subject to binding arbitration
12. General Provisions
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Touch Base. No oral modifications are valid.
